Board of Directors Meeting

Meeting opened 7:05 PM

Attendees: Donna Terry, Dudley Skinker, Michele Heffner, Ron Stehlin, John Patton

Treasurer’s Report – Donna Terry

• Question was raised on how to apply partial payments when homeowners owe more than one quarter.

o Discussion around when to apply cash without having an outstanding balance.

o It was explained that payments historically have been applied to most current Quarter and anything over and above current assessment is applied to outstanding balance.

• Delinquent payments

o 5 homeowners behind 1 Quarter

o 2 really behind by about 4 quarters

o 1 enormously behind

• Donna needs to get auditor the trial balance general ledger for tax extension; tax payments in 2009, and list of board members. After March 15 they will begin auditing the books.

• [AI] Contact lawyer on homeowner severely delinquent; pursuing 2^nd lien motion Michele; 2^nd Ron, 5-0 in favor motion carried. Consider other legal action including pursuing foreclosure after lien filed.

• [AI] For other outstanding dues, letters need to be sent.

Approval of Annual meeting minutes

• Annual meeting minutes of November 10th

o Motion put forth to approve by Ron

o Michele 2^nd motion 5-0 in favor

AERC Committee Updates

o No Approvals for AERC

o Removed dead tree in common area behind townhouses $300

o Stream erosion – city recommended an environmental friendly approach natural stream bed; Bundled branch wall Cyprus trees 6-7;

o Eagle scout project as possibility will contact Jeff Butterman; John will check to Boy scouts if this could be a project

• Elections of Officers for 2010

o Michele – President

Motion to approve - Dudley, 2^nd Ron, 5-0 in favor, Motion carried

• (AI) Discussion on shoveling the bus stops. Suggestion made to contact Alex Pearson for future snowfall shoveling at the bus stops

• Request for Special meeting

o Need to get details of what is expected at a special meeting, not clear if there is expectation of voting on items or using it as a discussion forum

o Contact board lawyer for evaluation of covenants based on suggestions made by homeowner requesting meeting; however, Michele will first contact the homeowner to get specifics of what is now perceived as outdated in the covenants.

o One suggestion made by homeowner is to revise the friendly violation letter. John will evaluate whether revisions are needed and inform the board with recommendations. The letter already informs homeowners to call the AERC chair with questions or concerns.

• There was a suggestion to postpone March newsletter and send out 3^rd quarter, however, since the bulk pick-up is in April, Michele will try to get a short newsletter out with 2^nd quarter billing.
